Legal terms governing your use of Neural Omega services

These Terms of Service ("Terms") constitute a legally binding agreement between you and Neural Omega S.L. governing your access to and use of Neural Omega's platforms, services, and website (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms and all applicable laws and regulations.

Please read these Terms carefully before using our Services. If you do not agree with any part of these Terms, you may not access or use our Services. These Terms apply to all users of the Services, including patients, healthcare professionals, researchers, and institutional users.

IMPORTANT NOTICES

  • These Terms include important provisions regarding dispute resolution and limitations of liability (Sections 13-15)
  • Our Services are not a substitute for professional medical advice (Section 5)
  • Health data processing is governed by our Privacy Policy and requires your explicit consent
  • By using our Services, you grant us certain rights to use anonymised data for research purposes (Section 9)

1. Definitions and Interpretation

Throughout these Terms, the following definitions apply:

"Neural Omega," "we," "us," or "our" refers to Neural Omega S.L., a Spanish limited liability company registered in Madrid (NIF: B75998922), and its affiliates, subsidiaries, officers, directors, employees, and agents.

"User," "you," or "your" refers to any individual or legal entity accessing or using our Services, including patients, healthcare professionals, researchers, and institutional users.

"Services" includes all platforms, applications, tools, and services provided by Neural Omega, including Neural Omega Health (patient and clinician platform), Neural Omega Research (bioinformatics and research tools), Maia Clinical (clinical decision support tools), and neuralomega.com (corporate website).

"Health Data" refers to any health-related personal information as defined in GDPR Article 9 (special categories of personal data), including medical history, diagnoses, symptoms, treatment information, biometric data, and genetic information.

"Research Data" refers to anonymised or pseudonymised datasets derived from user data, used for scientific research, algorithm development, and service improvement.

"Content" refers to any data, text, files, information, usernames, images, graphics, photos, profiles, audio and video clips, sounds, musical works, works of authorship, applications, links, and other content or materials.

"Intellectual Property" refers to all patents, copyrights, trademarks, trade secrets, know-how, algorithms, software code, database rights, and other intellectual property rights, whether registered or unregistered.

"Professional User" refers to healthcare professionals (physicians, nurses, allied health professionals), researchers, and other users accessing the Services for professional purposes.

2. Acceptance and Modification of Terms

2.1 Binding Agreement

By creating an account, accessing, or using our Services in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy (available at neuralomega.com/policy), which is incorporated into these Terms by reference.

If you are using our Services on behalf of an organisation, institution, or other legal entity, you represent and warrant that: (a) you have the legal authority to bind that entity to these Terms, (b) you have read and understand these Terms, and (c) you agree to these Terms on behalf of the entity you represent.

2.2 Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. When we make material changes, we will:

  • Update the "Last Updated" date at the top of these Terms
  • Notify you via email to your registered email address
  • Display a prominent notice on our Services
  • Where required by law, obtain your renewed consent

Your continued use of the Services after such notification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must immediately cease using our Services and may terminate your account.

2.3 Additional Terms

Certain features or services may be subject to additional terms and conditions, which will be presented to you at the time of use. Those additional terms are incorporated into these Terms by reference.

3. Eligibility and Account Registration

3.1 Age and Capacity Requirements

You must be at least 18 years of age (or the age of legal majority in your jurisdiction if higher) to use our Services independently. If you are under 18, you may only use our Services with the involvement, supervision, and approval of a parent or legal guardian who agrees to be bound by these Terms.

By using our Services, you represent and warrant that:

  • You meet the minimum age requirement
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using the Services under any applicable laws
  • Your use of the Services complies with all applicable laws and regulations

3.2 Account Registration and Verification

To access certain features of our Services, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information during the registration process
  • Maintain and promptly update your account information to keep it accurate and complete
  • Maintain the security and confidentiality of your account credentials (username and password)
  • Immediately notify us of any unauthorised access to or use of your account
  • Accept full responsibility for all activities that occur under your account
  • Not share your account credentials with any third party
  • Not allow any third party to access your account

3.3 Professional Users and Credential Verification

Healthcare professionals, researchers, and other Professional Users must:

  • Provide valid, current professional credentials (medical licence numbers, professional registration details, institutional affiliations)
  • Consent to verification of credentials through appropriate professional registries or institutions
  • Maintain active professional standing and immediately notify us of any changes to professional status
  • Use the Services only within the scope of their professional competence and legal authority

We reserve the right to:

  • Request additional documentation to verify professional credentials
  • Suspend or terminate accounts that cannot be adequately verified
  • Conduct periodic re-verification of professional credentials
  • Restrict access to certain features pending verification

4. Licence to Use Services

4.1 Limited Licence Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to access and use our Services for your personal use (for individual users) or internal business purposes (for institutional users).

This licence does not include any rights to:

  • Copy, modify, distribute, sell, or lease any part of our Services
  • Reverse engineer, decompile, or disassemble the Services
  • Access or use the Services to build competing products or services
  • Use the Services for any commercial purpose not expressly permitted

4.2 Licence Restrictions

The licence granted above is conditional upon your continued compliance with these Terms. We may suspend or terminate your licence at any time for violation of these Terms or applicable law.

5. Medical Disclaimer and Limitations

IMPORTANT MEDICAL DISCLAIMER

The Services are NOT a substitute for professional medical advice, diagnosis, or treatment. Neural Omega Health, Maia Clinical, and all other Services provided by Neural Omega are clinical decision support tools and health information platforms. They are designed to assist, not replace, the relationship between patients and their healthcare providers.

Always seek the advice of your physician or other qualified healthcare provider with any questions you may have regarding a medical condition, treatment options, or health decisions. Never disregard professional medical advice or delay seeking it because of information you have read, accessed, or received through our Services.

If you think you may have a medical emergency, call your doctor, go to the nearest emergency department, or call emergency services immediately. Neural Omega and its Services are not designed for emergency situations and do not provide emergency medical services.

Neural Omega does not recommend or endorse any specific tests, physicians, products, procedures, opinions, treatments, or other information that may be mentioned or referenced in our Services. Reliance on any information provided by Neural Omega, our employees, contractors, or other users is solely at your own risk.

5.1 No Medical Professional-Patient Relationship

Use of our Services does not create a medical professional-patient relationship between you and Neural Omega, our employees, contractors, or any healthcare professionals who may contribute content to our Services. Any information or recommendations provided through our Services are for informational and educational purposes only.

5.2 Clinical Decision Support Tools

Our AI-powered algorithms and clinical decision support tools are designed to assist healthcare professionals in their clinical decision-making process. However:

  • All clinical decisions remain the sole responsibility of qualified healthcare professionals
  • Our algorithms provide suggestions and insights, not definitive diagnoses or treatment plans
  • Healthcare professionals must exercise independent clinical judgement
  • Our tools should be used in conjunction with, not as a replacement for, clinical expertise and professional guidelines

5.3 No Warranty of Medical Accuracy

While we strive to provide accurate, up-to-date, and evidence-based information, we make no representations or warranties regarding the medical accuracy, reliability, completeness, or timeliness of any information provided through our Services. Medical knowledge evolves continuously, and information that is accurate today may become outdated.

6. Acceptable Use Policy

6.1 Permitted Uses

You may use our Services only for lawful purposes and in accordance with these Terms. Permitted uses include:

  • Tracking and managing your health information (individual users)
  • Accessing clinical decision support tools (healthcare professionals)
  • Conducting authorised research using our research platforms (researchers and institutions)
  • Collaborating with your care team or research collaborators (with appropriate permissions)
  • Accessing educational content and resources

6.2 Prohibited Uses

You agree not to engage in any of the following prohibited activities:

Illegal or Harmful Activities

  • Using the Services for any illegal purpose or in violation of any local, national, or international law
  • Engaging in fraud, misrepresentation, or impersonation
  • Harassing, threatening, or intimidating other users
  • Distributing malware, viruses, or any other harmful code

Unauthorised Access and System Interference

  • Attempting to gain unauthorised access to our systems, networks, or databases
  • Probing, scanning, or testing the vulnerability of our systems or networks
  • Breaching or circumventing authentication or security measures
  • Interfering with or disrupting the integrity, performance, or operation of the Services
  • Introducing any code that damages, interferes with, or intercepts any system, data, or information

Intellectual Property Violations

  • Copying, modifying, adapting, translating, or creating derivative works of the Services
  • Reverse engineering, decompiling, disassembling, or attempting to derive source code from the Services
  • Removing, altering, or obscuring any proprietary notices (copyright, trademark, patent notices)
  • Using our trademarks, logos, or branding without prior written authorisation
  • Infringing on Neural Omega's or any third party's intellectual property rights

Data Mining and Unauthorised Collection

  • Scraping, harvesting, or extracting data from the Services using automated means (bots, spiders, scrapers)
  • Using data mining, robots, or similar data gathering or extraction methods
  • Collecting or storing personal data about other users without their express consent
  • Aggregating or repackaging data from our Services for commercial purposes

Competitive or Unauthorised Commercial Use

  • Using the Services to develop, support, or operate competing products or services
  • Benchmarking the Services against competing solutions without authorisation
  • Reselling, sublicensing, or providing the Services to third parties without authorisation
  • Using the Services for any commercial purpose not expressly permitted in writing

Account Misuse

  • Sharing account credentials or allowing unauthorised access to your account
  • Creating multiple accounts for abusive or fraudulent purposes
  • Impersonating another person or entity, including healthcare professionals
  • Providing false, inaccurate, or misleading professional credentials

6.3 Enforcement and Consequences

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, removal of content, reporting to law enforcement authorities, and legal action to recover damages. We reserve the right to investigate suspected violations and to cooperate with law enforcement authorities.

7. User Content and Data Rights

7.1 Your Ownership of Content

You retain all ownership rights to any content, data, or information you submit, upload, or transmit through our Services ("User Content"). This includes health data, research data, files, documents, communications, and any other materials you provide.

7.2 Licence Grant to Neural Omega

By submitting User Content to our Services, you grant Neural Omega a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to:

  • Host, store, reproduce, and display your User Content as necessary to provide the Services
  • Process, analyse, and derive insights from your User Content to deliver personalised features
  • Use, reproduce, and distribute anonymised, aggregated, or de-identified data derived from User Content for research, development, and service improvement purposes
  • Share anonymised, aggregated data with research partners, subject to the terms of our Privacy Policy
  • Create backup copies of User Content for disaster recovery and business continuity purposes

This licence exists only for the limited purposes of operating, developing, providing, and improving the Services and researching autoimmune diseases. The licence terminates when you delete User Content or terminate your account, except for: (a) content you have shared with others that they have copied or stored, (b) anonymised or aggregated data that can no longer identify you, and (c) backup copies retained in accordance with our data retention policies.

7.3 Health Data - Special Provisions

Health Data is subject to enhanced protections under GDPR and other applicable data protection laws. We process Health Data only:

  • With your explicit consent, which you may withdraw at any time
  • As necessary to provide the Services you have requested
  • In accordance with our Privacy Policy and applicable laws
  • Using appropriate technical and organisational security measures

You have the right to:

  • Access, correct, or delete your Health Data
  • Withdraw consent for Health Data processing
  • Receive a copy of your Health Data in a portable format
  • Restrict or object to certain types of processing

7.4 Representations and Warranties About User Content

By submitting User Content, you represent and warrant that:

  • You own or have the necessary rights, licences, and permissions to submit the User Content
  • Your User Content does not infringe any third-party rights (intellectual property, privacy, publicity, or other rights)
  • Your User Content is accurate and not misleading
  • Your User Content complies with these Terms and all applicable laws
  • You have obtained all necessary consents to share health information of third parties (e.g., minors, dependents)

7.5 Prohibited Content

You may not submit User Content that:

  • Is false, fraudulent, defamatory, or misleading
  • Contains viruses, malware, or other harmful code
  • Infringes on any intellectual property or proprietary rights
  • Violates any applicable laws, regulations, or third-party rights
  • Contains hateful, discriminatory, or offensive material

7.6 Content Monitoring and Removal

We reserve the right (but have no obligation) to monitor, review, or remove User Content that violates these Terms or is otherwise objectionable, at our sole discretion and without notice. However, we do not pre-screen User Content and are not responsible for content submitted by users.

8. Intellectual Property Rights

8.1 Neural Omega's Intellectual Property

All rights, title, and interest in and to the Services, including all associated intellectual property rights, are and will remain the exclusive property of Neural Omega and its licensors. This includes, without limitation:

  • Software and Algorithms: Source code, object code, AI/ML models, algorithms, analysis methods, computational workflows, and software architecture
  • Patents and Trade Secrets: Patented inventions, patent applications, proprietary methodologies, technical know-how, and trade secrets
  • Copyrights: Original works of authorship, including documentation, user interfaces, graphics, text, images, and audio-visual materials
  • Trademarks: The Neural Omega name, logos, service marks, trade names, and brand elements
  • Databases: Database structures, schemas, and compilations of data
  • Research and Development: Research findings, experimental data, and scientific discoveries made using our platforms

8.2 Restrictions on Use

Nothing in these Terms grants you any right, title, or interest in Neural Omega's intellectual property. You may not:

  • Use Neural Omega's trademarks, logos, or branding without our prior written permission
  • Copy, reproduce, or distribute our proprietary algorithms or methodologies
  • Reverse engineer or attempt to extract trade secrets from our Services
  • File patent applications based on inventions derived from our Services
  • Use our intellectual property to develop competing products or services

8.3 Protection of Proprietary Information

Neural Omega's algorithms, models, and methodologies constitute valuable proprietary information and trade secrets. You acknowledge that:

  • These systems have been developed through substantial investment of time, effort, and resources
  • Unauthorised disclosure or use could cause irreparable harm to Neural Omega
  • You will not attempt to discover, reverse engineer, or replicate our proprietary systems
  • You will maintain the confidentiality of any proprietary information you encounter

8.4 Feedback and Suggestions

If you provide feedback, suggestions, or ideas about our Services ("Feedback"), you grant Neural Omega a perpetual, irrevocable, worldwide, royalty-free licence to use, modify, and incorporate such Feedback into our Services without any obligation to compensate you or provide attribution.

9. Research and Data Use for Scientific Purposes

9.1 Permitted Research Uses

Neural Omega may use anonymised, pseudonymised, or aggregated data derived from the Services for the following research and development purposes:

  • Conducting scientific research into autoimmune diseases, their mechanisms, progression, and treatment
  • Developing and improving AI/ML algorithms for disease prediction, diagnosis support, and treatment optimisation
  • Identifying biomarkers, disease patterns, and therapeutic targets
  • Advancing computational biology and bioinformatics methodologies
  • Publishing research findings in peer-reviewed scientific journals
  • Collaborating with academic institutions, research organisations, and pharmaceutical companies
  • Improving the accuracy, functionality, and performance of our Services

9.2 Data Anonymisation and Protection

All research uses of data are subject to strict safeguards:

  • Data is anonymised or pseudonymised wherever possible to prevent identification of individuals
  • Identifiable data is used only with explicit informed consent
  • Research protocols undergo ethics committee review where required
  • Data is processed in compliance with GDPR, Good Clinical Practice (GCP) standards, and applicable research ethics guidelines
  • Research partners are bound by Data Processing Agreements and confidentiality obligations

9.3 Your Rights Regarding Research Use

You have the right to:

  • Opt out of having your anonymised data used for research purposes (though this may limit some Service features)
  • Withdraw consent for identifiable data use in research at any time
  • Request information about specific research projects using your data
  • Object to specific types of research uses

9.4 Intellectual Property in Research Outputs

Any inventions, discoveries, algorithms, models, or other intellectual property developed by Neural Omega using anonymised or aggregated data shall be the sole and exclusive property of Neural Omega. You shall have no claim to any such intellectual property or any resulting commercial benefits.

10. Fees, Payment, and Subscriptions

10.1 Pricing and Billing

Certain features and services require payment of subscription fees. Current pricing is available on our website and may be updated from time to time with reasonable notice.

  • All fees are stated in Euros (EUR) unless otherwise specified
  • Subscription fees are charged in advance on a recurring basis (monthly, annually, or as otherwise stated)
  • Payment is due immediately upon subscription activation or renewal
  • You authorise us to charge your designated payment method for all applicable fees

10.2 Taxes

All fees are exclusive of applicable taxes, duties, levies, and governmental charges (including VAT). You are responsible for paying all such taxes except for taxes based on Neural Omega's income. If we are required to collect or pay taxes for which you are responsible, such amounts will be charged to you.

10.3 Subscription Renewal and Cancellation

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will continue to have access to paid features until the end of your current billing period
  • No refunds will be provided for partial billing periods
  • Your account may be downgraded to a free tier (if available) or deactivated at the end of the paid period

10.4 Price Changes

We reserve the right to modify our pricing at any time. Price changes will:

  • Be communicated to you at least 30 days before taking effect
  • Apply to subsequent billing periods only (not retroactively)
  • Give you the right to cancel your subscription before the new pricing takes effect

10.5 Refunds

All fees are non-refundable except:

  • As expressly stated in these Terms
  • As required by applicable consumer protection laws
  • In cases of billing errors, which will be corrected promptly upon notification

10.6 Payment Failures

If payment fails (e.g., due to insufficient funds, expired payment method, or payment processor rejection), we may: (a) retry the payment, (b) suspend your access to paid features, or (c) terminate your subscription. You remain responsible for any uncollected amounts.

11. Third-Party Services, Links, and Integrations

Our Services may contain links to, or integrate with, third-party websites, services, applications, or resources, including:

  • Wearable device APIs and health data platforms
  • Electronic health record (EHR) systems
  • Healthcare provider portals
  • Payment processors
  • Third-party research tools or databases
  • Social media platforms

These links and integrations are provided for your convenience only. We:

  • Do not control, endorse, or assume responsibility for third-party services
  • Are not responsible for the content, accuracy, privacy practices, or terms of third-party services
  • Make no warranties regarding third-party services
  • Are not liable for any damages arising from your use of third-party services

Your use of third-party services is governed by their respective terms and privacy policies. We encourage you to review those policies before using third-party services.

12. Term, Suspension, and Termination

12.1 Term

These Terms commence when you first access or use the Services and remain in effect until terminated by either you or Neural Omega in accordance with these Terms.

12.2 Termination by You

You may terminate your account and cease using the Services at any time by:

  • Deleting your account through your account settings
  • Sending a termination request to legal@neuralomega.com

12.3 Suspension or Termination by Neural Omega

We may suspend or terminate your access to the Services immediately, without notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • You engage in fraudulent, abusive, or illegal activity
  • Your account poses a security risk to our Services or other users
  • We are required to do so by law, court order, or governmental authority
  • You fail to pay applicable fees (for paid accounts)
  • Your professional credentials cannot be verified or have been revoked

We may also terminate your account for convenience with 30 days' written notice.

12.4 Effect of Termination

Upon termination of your account:

  • All licences granted to you under these Terms immediately cease
  • You must immediately cease all use of the Services
  • You will no longer have access to your account, User Content, or any data stored in the Services
  • We may delete your User Content in accordance with our data retention policies and applicable law
  • You remain responsible for all fees incurred prior to termination
  • No refunds will be provided for prepaid fees

12.5 Survival

The following provisions survive termination: Sections 7 (User Content and Data Rights - solely with respect to licences granted), 8 (Intellectual Property Rights), 9 (Research and Data Use), 13 (Warranties and Disclaimers), 14 (Limitation of Liability), 15 (Indemnification), 16 (Dispute Resolution), and any other provisions that by their nature should survive.

13. Warranties and Disclaimers

DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEURAL OMEGA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES of merchantability, fitness for a particular purpose, title, and non-infringement
  • WARRANTIES REGARDING ACCURACY, RELIABILITY, OR COMPLETENESS of any content, information, or data provided through the Services
  • WARRANTIES REGARDING UNINTERRUPTED, SECURE, OR ERROR-FREE OPERATION of the Services
  • WARRANTIES THAT DEFECTS WILL BE CORRECTED or that the Services will meet your requirements
  • WARRANTIES REGARDING MEDICAL ACCURACY or suitability for clinical decision-making
  • WARRANTIES REGARDING THIRD-PARTY SERVICES or integrations

13.1 No Medical Warranty

We make no warranty that:

  • The Services will diagnose, cure, treat, or prevent any disease or medical condition
  • Any particular clinical outcome will be achieved
  • The Services are appropriate for any specific medical use case
  • Information provided through the Services is current, complete, or medically accurate

13.2 No Warranty Regarding User Content

We do not warrant the accuracy, reliability, or quality of User Content submitted by other users. You are solely responsible for evaluating User Content before relying on it.

13.3 No Warranty Creation

No advice or information, whether oral or written, obtained by you from Neural Omega or through the Services will create any warranty not expressly stated in these Terms.

14. Limitation of Liability

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NEURAL OMEGA, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES of any kind
  • LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, DATA, GOODWILL, OR ANTICIPATED SAVINGS
  • BUSINESS INTERRUPTION or loss of use of the Services
  • DAMAGES RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS, ALTERATION, OR DELETION OF YOUR DATA
  • DAMAGES RESULTING FROM THIRD-PARTY CONTENT, SERVICES, OR CONDUCT
  • DAMAGES RELATED TO MEDICAL DECISIONS, DIAGNOSES, OR TREATMENT OUTCOMES
  • DAMAGES ARISING FROM ERRORS, MISTAKES, OR INACCURACIES OF CONTENT
  • DAMAGES ARISING FROM PERSONAL INJURY OR PROPERTY DAMAGE resulting from your use of the Services
  • DAMAGES ARISING FROM ANY BREACH OF SECURITY or unauthorized access to our servers or your data

THESE LIMITATIONS APPLY EVEN IF NEURAL OMEGA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).

14.1 Aggregate Liability Cap

MAXIMUM AGGREGATE LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURAL OMEGA'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO NEURAL OMEGA IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED EUROS (€100).

14.2 Basis of the Bargain

You acknowledge and agree that these limitations of liability are fundamental elements of the agreement between you and Neural Omega, and that Neural Omega would not provide the Services without these limitations.

14.3 Jurisdictions That Do Not Allow Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability will be limited to the maximum extent permitted by law.

15. Indemnification

You agree to indemnify, defend, and hold harmless Neural Omega, its affiliates, subsidiaries, officers, directors, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable legal fees and expenses) arising from or relating to:

  • Your use or misuse of the Services
  • Your violation of these Terms or any applicable law or regulation
  • Your violation of any rights of another person or entity, including intellectual property rights, privacy rights, or publicity rights
  • Any User Content you submit, upload, or transmit through the Services
  • Any false, inaccurate, or misleading information you provide
  • Your negligence, willful misconduct, or fraud
  • Any claims by third parties that you have infringed their rights

We reserve the right, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you. You will cooperate fully with us in asserting any available defences and in the conduct of any defence.

16. Dispute Resolution, Governing Law, and Jurisdiction

16.1 Governing Law

These Terms, and any disputes arising out of or related to these Terms or the Services, shall be governed by and construed in accordance with the laws of Spain, without giving effect to any conflict of law principles that would require the application of the laws of a different jurisdiction.

The application of the United Nations Convention on Contracts for the International Sale of Goods is expressly excluded.

16.2 Jurisdiction and Venue

Any disputes, claims, or controversies arising out of or relating to these Terms or the Services shall be subject to the exclusive jurisdiction of the courts of Madrid, Spain. You irrevocably consent to the jurisdiction and venue of such courts and waive any objection to such jurisdiction or venue.

Notwithstanding the foregoing, if you are a consumer resident in the European Union, you may also bring proceedings in the courts of your country of residence, and GDPR grants you certain rights to bring claims in your habitual residence.

16.3 Informal Dispute Resolution

Before initiating formal legal proceedings, you agree to first contact us and attempt to resolve the dispute informally. Please send a detailed written notice describing the nature of the dispute and the relief sought to:

We will attempt to resolve the dispute within 60 days of receiving your notice. If we cannot reach a mutually satisfactory resolution, either party may then pursue formal legal proceedings.

16.4 EU Online Dispute Resolution

If you are a consumer in the European Union, you may also submit complaints via the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features or services, constitute the entire agreement between you and Neural Omega regarding the Services and supersede all prior agreements, understandings, and communications, whether oral or written.

17.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed, and the remaining provisions shall remain in full force and effect.

17.3 Waiver

No waiver of any provision of these Terms shall constitute a waiver of such provision in any other instance or of any other provision. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

17.4 Assignment

You may not assign, transfer, or delegate these Terms or your rights and obligations hereunder without our prior written consent. Any attempted assignment in violation of this provision is void. We may freely assign, transfer, or delegate these Terms and our rights and obligations hereunder, including in connection with a merger, acquisition, reorganisation, or sale of assets.

17.5 No Third-Party Beneficiaries

These Terms are for the benefit of, and may be enforced only by, the parties to these Terms and their permitted successors and assigns. Nothing in these Terms, express or implied, is intended to or shall confer upon any other person or entity any legal or equitable right, benefit, or remedy of any nature whatsoever.

17.6 Force Majeure

Neural Omega shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to: acts of God, war, terrorism, civil unrest, pandemics, government actions, labour disputes, telecommunications failures, power outages, natural disasters, or failures of third-party services or infrastructure.

17.7 Notices

We may provide notices to you:

  • Via email to the email address associated with your account
  • Through in-app notifications within the Services
  • By posting notices on our website or within the Services

Notices sent by email are deemed received 24 hours after sending, provided no delivery failure notification is received. You must provide notices to us in writing via email to legal@neuralomega.com or by post to our registered address.

17.8 Language

These Terms are drafted in English. Any translations are provided for convenience only. In the event of any conflict or inconsistency between the English version and any translation, the English version shall prevail.

17.9 Export Control

You agree to comply with all applicable export control and sanctions laws and regulations. You represent and warrant that you are not: (a) located in a country subject to comprehensive sanctions, (b) identified on any sanctions list, or (c) otherwise prohibited from accessing or using the Services under applicable law.

17.10 Relationship of Parties

The relationship between you and Neural Omega is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between the parties.
